A data room in LP Port is attached to the investment it belongs to and inherits the same access rules as everything else. Prospects see what prospects should see, accepted investors see more, and you can tell at a glance who has actually opened the memorandum.

Access by audience, not by link.

Every room has an audience: everyone with portal access, prospects only, or accepted investors only. You are choosing who a room is for, not managing a list of link recipients who may have forwarded it.

Rooms can be linked to a specific investment, so they appear alongside it for the people who belong to that investment, and can be moved or unlinked as a raise progresses.

    Turn downloading off per room so files preview but do not leave, and have PDFs watermarked with the viewer's own identity, baked into the file rather than drawn over it.
  • Share links that verify
    When you do share a link outside the portal, recipients confirm their email with a one-time code, and revoking the link invalidates outstanding codes.

Can prospects see a data room before they commit?

Yes. Set the room's audience to prospects and it becomes visible to people who have portal access but have not been accepted, which is usually how early diligence material is shared.

Can I tell who opened a document?

Yes. Each room reports total views, unique viewers, downloads and last activity, broken down per file and per viewer, including people who arrived through a share link.

Can I stop people downloading?

Yes, per room. With downloads off, files still preview in the browser but the download route is refused. PDFs can also be watermarked with the viewer's identity, written into the file itself so the mark survives printing.

Do investors need a separate login for the data room?

No. The data room is part of the same portal, so an investor signs in once and sees the rooms their stage entitles them to.
